I. WEBSITE TERMS & CONDITIONS

DEFINITIONS

In these terms and conditions (the ‘Conditions’), the ‘Company’ or ‘Sarment’ will mean Sarment Pte. Ltd., trading as Sarment Private Limited, and the ‘Customer’ will mean any person, firm, company, corporation or body which places an order with the Company. Please read these Conditions carefully before placing an order. By confirming an order with Sarment you agree that you have read these Conditions and that you accept and agree to be bound by them.

GENERAL

The Company shall make every effort to ensure that prices, details and sizes of wine, champagne, and other products offered for sale by us (the ‘Products’) on the website are up to date. Prices are subject to change without prior notice and all orders are subject to the Company’s acceptance at its sole discretion and stock availability.

The Company shall make every effort to ensure Products displayed on the website are in stock. If from time to time Products become out of stock, the Company reserves the right to offer alternative product(s) to the Customer of similar value and style.

All orders are subject to confirmation of final availability and Sarment reserves the right to reject the order in the event that any of the Products or services requested are unavailable. In the event that we are unable to fulfill any of the Products or services in your order we will notify you by phone or email before your requested delivery date.

All sales are subject to our final confirmation. All orders received verbally, by fax or electronic mail are considered final. Unless otherwise agreed by Sarment, no cancellations will be accepted. Prices are subject to change without notice. All Products sold are strictly non-exchangeable and non-refundable except where stated otherwise.

By placing an order, the Customer confirms that he/she is 18 years old or over. It is illegal to sell alcohol to people under the age of 18. A person aged 18 or above (with identification proved) must be present to receive the alcoholic Products or delivery shall be withdrawn.

MERCHANDISE DAMAGED DURING OR FROM SHIPPING

All orders are carefully checked by Sarment before delivery to ensure the quality of the Products. It is the receiver’s responsibility to check the condition of any Products received including glassware and accessories, at the time of delivery. The Customer is requested to examine the Products immediately upon delivery for any deficiencies and/or damages. In case of breakage or damage to any packaging, the Customer is advised to reject the Products at that time and/or to make a note on the delivery slip stating the extent of the breakage and that will be used to time stamp the claim. Claims without any note on the delivery slip may be refused by the Company at its sole discretion.

Claims (if any) should be lodged to our relevant national customer service hotline (Singapore: +65 6636 9863; Hong Kong: +852 2187 3290; P.R. China: +86 21 6437 9991) or by email (Singapore: sales.singapore@sarmentwine.com; Hong Kong: hongkong@sarmentwine.com; P.R. China: shanghai@sarmentwine.com) at the time of delivery or at any time not exceeding 24 hours after the time of delivery receipt. The Company may refuse to process a Customer’s claim after delivery if there is a failure to lodge a claim in accordance with these Conditions. Sarment may, at its sole discretion, refuse to accept the return of Products, including corked wines, for any reason, once the Customer or his receiver has signed for the Products.

Depending on the situation, the Company, at its sole discretion, may offer to the Customer a replacement, a discount, a refund or an account credit to be used for a later purchase. Damaged Products must be returned to us, with a copy of the invoice, within 3 days of the delivery receipt.

A replacement will be granted if the Company, at its sole discretion, deems the claim to be valid. In such a case where the Company deems the claim to be valid, and if the Company chooses to send a replacement Product, the Company will send the replacement Product to the same address within 7 days from the date of the claim’s validity, or within a reasonable number of days from the date of the claim’s validity. Where a return or replacement is not possible because no stock of such Product is available, the Company may, at its sole discretion, either offer a discount or an account credit to be used by that Customer for a later purchase.

TITLE

All risks in the Products shall pass to the Customer upon delivery but Sarment shall retain title in the Products until full payment has been received.

FORCE MAJEURE

The Company shall not be liable for any delay or failure in its performance caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labour difficulties, equipment failures, or any other causes beyond the control of Company.

PAYMENT TERMS

All major credit cards are accepted.

All Product prices are listed in your local currency, unless otherwise stated.

Sarment reserves the right to change the payment terms for any order without prior notice.

CUSTOMER DEFAULT

If Sarment’s performance of any of its obligations under these Conditions is prevented or delayed by any act or omission by the Customer or failure by the Customer to perform any relevant obligation (‘Customer Default’):

(a) Sarment shall without limiting its other rights or remedies have the right to suspend performance of its services or obligations under these Conditions until the Customer remedies the Customer Default, and to rely on the Customer Default to relieve it from the performance of any of its obligations to the extent the Customer Default prevents or delays Sarment’s performance of any of its obligations;

(b) Where a Customer Default subsists, Sarment shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from Sarment’s failure or delay to perform any of its obligations; and

(c) The Customer shall reimburse Sarment on written demand for any costs or losses sustained or incurred by Sarment arising directly or indirectly from the Customer Default.

LAW AND JURISDICTION

The Company shall have the right to make any changes to the provision of the services, and the sale and/or delivery of the Products under these Conditions which are necessary to comply with any applicable law or safety requirement, and the Company shall notify the Customer in any such event.

Sarment may revise these Conditions at any time without prior notice. If any dispute arises, Sarment’s determination shall be final.

 

II. LUXE CLUB TERMS & CONDITIONS

DEFINITIONS

In these terms and conditions (the ‘Conditions’), the ‘Company’ or ‘Sarment’ will mean Sarment Pte. Ltd., trading as Sarment Private Limited, and the ‘Member’ will mean any person who places an order of the Luxe Club membership (the ‘Membership’) with the Company. Please read these Conditions carefully before placing an order. By confirming an order with Sarment you agree that you have read these Conditions and that you accept and agree to be bound by them. You also confirm that you receive a copy of these Conditions.

GENERAL

The Company shall make every effort to ensure that details of wine, champagne, and other products offered by us within the Membership (the ‘Products’) are in accordance with the Membership. Prices are subject to change without prior notice and all orders are subject to the Company’s acceptance at its sole discretion and stock availability.

All sales are subject to our final confirmation. All orders received verbally, by fax or electronic mail are considered final. Unless otherwise agreed by Sarment, no cancellations will be accepted. REGISTRATION

Sarment will not share any personal data of any kind with third parties for spamming or e-mailing. However by registering, Members grant Sarment with a full access to their address, name, e-mail, without any restrictions.

TERMS OF DELIVERY

(1) Sarment will deliver the wine boxes, each month by its own services. Sarment will do everything possible to deliver as close as possible at the monthly anniversary of the first billing with two weeks (opening days) of tolerance.

(2) In case of no delivery, after two week (opening days) clients will be replaced their missing box or case. In case such a thing would not be possible, Sarment will provide the client with a free month of wine delivery in the same product range.

(3) All missing deliveries will not be treated in case the box has been delivered at the correct address by our services. The delivery proof will be the only required proof. Product theft after its delivery is not taken into account under the Sarment delivery failure.

(4) Any delivery operated will be done at the address registered on the client’s account; no other delivery address will be taken into account. The delivery services will attempt to deliver the package two times, after the package will be hold at the closest post office. Clients will have the responsibility to go get the package with required proofs of identity.

All GST and delivery fees are already included in the total price of the Membership. No additional fees will be charged.

(b) Where a Member Default subsists, Sarment shall not be liable for any costs or losses sustained or incurred by the Member arising directly or indirectly from Sarment’s failure or delay to perform any of its obligations; and

(c) The Member shall reimburse Sarment on written demand for any costs or losses sustained or incurred by Sarment arising directly or indirectly from the Member Default.
